      Capgemini to Acquire WNS, Creating a Global Leader in Agentic AI-Powered Intelligent Operations

      July 7, 2025 – Capgemini (Euronext Paris: CAP), a global business and technology transformation partner, has announced a definitive agreement to acquire WNS (NYSE: WNS), a leading digital-led business transformation and services company. The acquisition positions Capgemini as a global leader in Agentic AI-powered Intelligent Operations, enabling enterprises to transform end-to-end business processes and unlock significant value through AI-driven automation.

      Under the agreement, Capgemini will acquire WNS for $76.50 per share in cash, representing a 28% premium over WNS’ 90-day average share price and a total consideration of $3.3 billion, excluding net financial debt. The transaction has been unanimously approved by the boards of both companies and is expected to close by the end of 2025, subject to regulatory and shareholder approvals.

      Immediate Financial Impact: The deal is expected to be accretive to Capgemini’s normalized EPS by 4% in 2026 (pre-synergies) and 7% in 2027 (post-synergies).

      Global Leadership in Intelligent Operations: Combines Capgemini’s consulting-led, AI-powered transformation capabilities with WNS’ high-growth, margin-accretive Digital Business Process Services (BPS).

      Accelerated AI Transformation: Positions Capgemini to capture enterprise investments in Agentic AI, enabling hyper-automation, autonomy, and enhanced business outcomes.

      Transaction Details and Timeline
      The acquisition will be implemented via a Court-sanctioned scheme of arrangement under Jersey law. Capgemini has secured bridge financing of €4.0 billion to fund the transaction. The deal is expected to close by year-end 2025, following shareholder and regulatory approvals.
